# Terms of Service

Important Notice

This Global AI Platform Terms of Service (the "Agreement") is a legally binding contract between you and the operator of the Global AI platform (referred to as "we," "us," or the "Platform"), governing your use of the artificial intelligence model aggregation API services provided by the Platform (the "Service").

Please read and fully understand all of the terms of this Agreement carefully before registering or using the Service, **especially the provisions in bold or underlined that limit or disclaim liability, the dispute resolution clause, and the governing law clause**. By clicking "Agree," completing registration, or actually using the Service, you confirm that you have read and agree to be bound by this Agreement. If you do not agree with any part of this Agreement, please stop registering and using the Service immediately.

This Agreement applies to users worldwide. Unless otherwise required by applicable law, the formation, performance, interpretation, and resolution of disputes under this Agreement are governed by the laws of the United States of America. The Platform also complies with applicable international sanctions and export control regulations and other applicable laws and regulations.

## 1. Definitions

1.1 **Platform** means the websites, console, SDKs, API endpoints, and related web pages, applications, and documentation through which the operator provides the AI model aggregation API Service.

1.2 **Service** means the provision by the Platform, acting as a technical middle layer, of the AI capabilities of multiple upstream model providers (including but not limited to OpenAI, Anthropic (Claude), etc., each an "Upstream Provider") to you through unified API interfaces, protocol conversion, intelligent routing, and usage management.

1.3 **User / You** means the natural person, legal person, or other organization that registers and uses the Service.

1.4 **Input** means the data, text, images, prompts, and other content that you submit to the Platform and forward to an upstream model through the API or other access methods.

1.5 **Output** means the results generated by an upstream model based on your Input and forwarded back to you by the Platform.

1.6 **Token / API Key** means the access credential issued by the Platform for authentication and billing.

1.7 **Rules** means the body of this Agreement together with any detailed rules, operational procedures, announcements, notices, pricing rules, privacy policy, etc., issued or to be issued by the Platform from time to time.

## 2. Scope, Effectiveness, and Changes of the Agreement

2.1 This Agreement applies to all functions and services you access, register for, and use on the Platform. All Rules form an integral part of this Agreement and have the same legal effect as the body of this Agreement.

2.2 Your use of the Service is deemed an acknowledgment and acceptance of this Agreement and the Rules. If you do not accept any terms, you should stop using the Service.

2.3 We may, as laws and regulations change or business needs develop, from time to time formulate or amend this Agreement and/or any Rules and publish them on the Platform, and notify you where required by law. Amended Agreements and Rules take effect once published. If you do not agree to a change, you should immediately stop using the Service; continued use after the change takes effect is deemed acceptance of the revised Agreement and Rules.

2.4 This Agreement takes effect upon your clicking "Agree," completing registration, or actually using the Service (whichever occurs first). You may not claim this Agreement is invalid or seek its rescission on the grounds that you did not read it or did not receive an answer.

2.5 In entering into and performing this Agreement, you shall also comply with the laws and regulations of the country or region where you belong to and/or are located. If the laws of your jurisdiction conflict with this Agreement or the laws applicable to the Platform, this Agreement and the laws applicable to the Platform shall prevail, except that your jurisdiction may not adversely affect your mandatory obligations or the Platform's sanctions-compliance obligations.

## 3. Description of the Service

3.1 The Platform is a compliantly operated AI model API aggregation and forwarding service platform, providing services including but not limited to:

* Unified access to and invocation of multi-vendor AI model APIs;
* API key management, usage monitoring, and billing;
* Intelligent model routing and automatic failover;
* Enterprise-grade account management and access control.

3.2 **The Platform does not train, own, or operate AI models itself.** It acts solely as a technical middle layer that forwards your requests to Upstream Providers and returns their Output to you unchanged. The generation, operation, quality, and technical responsibility of upstream models rest with the respective Upstream Provider or its compliant operating entity.

3.3 The Platform is solely a technical display and service provider and makes no express or implied warranty as to the accuracy, validity, legality, or suitability of any Output.

## 4. Registration Eligibility and Account Security

4.1 **Eligibility**: You must be a natural person, legal person, or other organization with full legal capacity and able to independently bear legal liability. If you are a minor or a person with limited capacity, you must read this Agreement in the company of and with the written consent of your legal guardian before using the Service. If you do not have the requisite capacity, all resulting consequences shall be borne by you and your guardian.

4.2 **Truthful Information and Identity Verification**: You must provide true, accurate, complete, legal, and valid registration information. Under applicable laws and Platform Rules, we may require you to complete individual identity verification or enterprise verification (KYB) and provide valid business licenses, legal representative information, and other materials. You must update such information promptly when it changes. If you submit false, incomplete, or unverifiable information, we may refuse or restrict the relevant Service, and you shall bear the corresponding responsibility.

4.3 **Account Security**: You are responsible for all activities under your account and must keep your account, password, verification code, and API Key secure. Any loss caused by your failure to safeguard your credentials or by their theft shall be borne by you. If you notice unauthorized use or suspicious login, notify us immediately.

4.4 **No Transfer**: Without our prior written consent, your account may not be transferred, lent, gifted, inherited, or otherwise sold or shared; you shall not circumvent registration, limits, or bans through the same phone number, email, device, or IP range.

4.5 If we have reasonable grounds to believe an account involves transfer, theft, suspicious login, or evasion, we may suspend, restrict, or terminate the Service to that account, and you shall bear the resulting consequences.

## 5. Geographic Restrictions and Regional Compliance

5.1 Subject to the service-area policies of Upstream Providers and applicable law (including U.S. OFAC and related international sanctions), the Platform **does not provide the Service to users in the following countries, territories, or sanctioned persons**, including but not limited to:

* Iran;
* North Korea;
* Cuba;
* Syria;
* China (including Hong Kong, Macao, and Taiwan);
* Crimea;
* Russia;
* Other countries and territories subject to U.S. OFAC or other vendor sanctions or restrictions.

5.2 **No Circumvention of Geographic Restrictions**: You agree not to circumvent, conceal, or assist in circumventing the above geographic restrictions through proxies, VPNs, spoofed IP addresses, false locations, impersonation, or any other means. If you use the Service from a restricted region or through circumvention, we may immediately refuse service, suspend or cancel your account, stop recharges and refunds, and reserve the right to pursue legal liability; all resulting consequences, including account bans and loss of usage, shall be borne by you.

5.3 You represent that the laws and regulations of the country or region where you belong to and/or are located permit you to use the Service, and you bear full compliance responsibility for such use.

## 6. Prohibited Uses

6.1 When using the Service, you agree to strictly comply with the laws and regulations of the country or region where you are located and with this Agreement. **You are strictly prohibited from using the Service for the following purposes.** Upon discovery of any violation, the Platform will immediately disable the relevant tokens and account, refuse refunds, and cooperate with regulatory investigations where necessary:

**(a) Illegal and Criminal Activities**

Any use that violates the laws or regulations of any country or region, including but not limited to fraud, gambling, drug trafficking, money laundering, terrorism, smuggling, and human trafficking.

**(b) Violence and Harm**

Generating or disseminating content involving serious violence, gore, self-harm, harm to others, or threats to public safety; planning, inciting, or assisting any real-world harm.

**(c) Pornography and Protection of Minors**

Generating or disseminating pornographic, soft-pornographic, or sexual exploitation content. Any improper content involving minors is prohibited in all forms and for all purposes.

**(d) Political Sensitivity**

Generating or disseminating political content that incites subversion, undermines social stability, endangers national security, or violates local laws and public order; using the Platform to interfere with or influence the domestic politics of other countries.

**(e) Hate and Discrimination**

Hate speech, personal attacks, harassment, or discriminatory content based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, age, etc.

**(f) Privacy and Fraud**

Scraping, selling, or disclosing others' private information; impersonation, identity fraud, phishing, social engineering fraud; forging identification, credentials, official documents, medical records, etc.

**(g) Malicious and Abusive Conduct**

Writing malicious code, viruses, ransomware, or penetration tools; conducting DDoS, CC, crawler abuse, reverse engineering, or bypassing risk controls against the Platform or any third-party service; bulk registration, brushing, abuse of promotions, or sharing or reselling tokens in ways that harm normal platform operations.

**(h) High-Risk Decisions**

In high-risk scenarios such as medical diagnosis, legal adjudication, financial investment, or life safety, adopting model Output directly without review by qualified professionals. AI Output is for reference only and cannot replace professional judgment.

6.2 You shall not use the Service to infringe others' intellectual property, trade secrets, right of likeness, reputation, privacy, or other lawful rights, nor use AI-generated content to impersonate human creation, make false claims, or mislead the public.

## 7. Abuse Controls and Tiered Enforcement

7.1 In addition to the prohibited uses above, the Platform strictly controls resource abuse that affects platform stability, fairness, and commercial order. The following scenarios may be deemed abuse even if the content itself is lawful:

**(a) Account and Token Abuse**

* Bulk registration with false information or using multiple accounts to obtain trial credits, welcome benefits, or referral rewards;
* Sharing, renting, reselling, or publicly disclosing accounts or tokens;
* Circumventing usage limits or bans using the same phone number, email, device, or IP range;
* Illegally reselling accounts or tokens through third-party platforms.

**(b) Quota and Billing Abuse**

* Obtaining trial credits, bonus credits, or campaign rewards through cheating;
* Malicious refunds, chargebacks, stolen card use, or recharge through illegal payment channels;
* Arbitrage through system vulnerabilities, timing, or concurrency differences;
* Malicious redemption, forging redemption codes, or reusing one-time credentials.

**(c) Request and Traffic Abuse**

* Sustained ultra-high concurrency calls or meaningless stress testing/scanning via scripts;
* Loops, infinite loops, or agent/automation calls without termination conditions;
* Large-scale content scraping, data distillation, or training competing models;
* Unauthorized resale of the Platform's API by re-packaging it as a third-party API service;
* Maliciously consuming context or deliberately accumulating irrelevant history to create billing disputes over tokens.

**(d) Platform Attacks and Evasion**

* Conducting DDoS, CC, crawling, scanning, or penetration testing against the Platform or its upstream services;
* Reverse engineering, decompiling, or bypassing rate limits, authentication, risk controls, or billing systems;
* Circumventing geographic restrictions or bans via proxies, VPNs, or spoofed IPs;
* Malicious reporting, false accusations, or fabricating evidence to harass support or disrupt operations.

**(e) Content-Level Abuse**

* Using prompt injection or jailbreak prompts to bypass model safety policies;
* Inducing or coaxing models to generate content listed in the prohibited uses;
* Automating spam emails, spam comments, SEO cheating, bot traffic, or fake public opinion;
* Creating deepfakes, face-swaps, or forged audio/video and other misleading content.

7.2 **Tiered Enforcement**: The Platform identifies abuse through log analysis, behavioral modeling, and upstream feedback, and may take the following measures based on the circumstances:

| Freeze       | Obvious abuse, resale, bypassing risk controls                                | Freeze tokens and account balance; suspend recharges and withdrawals       |
| Ban          | Severe abuse, attacks on the Platform, suspected illegality                   | Permanent ban of the account and related accounts; no refund               |
| Legal Action | Actual losses or suspected criminal conduct                                   | Pursue civil liability; refer to judicial authorities                      |

7.3 Normal high-concurrency business needs do not constitute abuse. If you require high quotas or high concurrency in a production environment, please contact us in advance to apply for an increase to avoid being mistakenly flagged by risk controls.

## 8. API Usage Rules and Key Management

8.1 **Lawful Use**: You shall not use the Service for any activity that violates laws or regulations. Your API calls shall simultaneously comply with the usage policies of the Platform and the respective Upstream Providers.

8.2 **Key Management**: API Keys are the credentials for calling the Service and must be kept secure. Any loss caused by key leakage, transfer, or improper custody shall be borne by you. If you discover a key leak, notify us immediately and rotate it.

8.3 **No Evasion**: You shall not maliciously call, bypass security controls, evade rate limits, or interfere with the normal operation of the Service through automated means.

8.4 **Disclosure and Labeling Obligations**: In accordance with applicable laws and regulations and Upstream Provider policies, when you use, disseminate, or commercially use AI-generated content, you shall fulfill applicable labeling obligations and shall not impersonate human creation or mislead the public.

8.5 **Content Review Obligation**: You are responsible for reviewing the Output generated by the Service and for assessing the relevant risks before use; all resulting responsibility shall be borne by you.

## 9. Billing and Payment

9.1 **Billing Method**: The Service is billed based on actual API usage (e.g., token consumption, number of calls), with unit prices as published on the Platform's pricing page.

9.2 **Prepaid Model**: The Platform requires prepayment before use and provides no free quota (unless otherwise arranged for promotions).

9.3 **Billing Settlement**: The system automatically deducts charges in real time based on API calls. When the account balance is insufficient, the relevant Service will be suspended; service resumes automatically after recharging.

9.4 **Taxes**: All taxes arising from your use of paid services shall be reported and paid by you.

9.5 **Price Changes**: We reserve the right to adjust unit prices based on market conditions, operating costs, and upstream pricing policies. We will announce or notify you at a prominent location on the Platform before any adjustment. If you do not agree, you should stop using the relevant service.

9.6 **Refund Policy**: Unless otherwise required by law or expressly committed in writing by the Platform, fees for consumed usage are generally non-refundable; we are not liable for refunds in cases of account suspension or freeze due to your violation.

## 10. Data Security and Personal Information Protection

10.1 We attach great importance to the protection of users' personal information and will collect, store, use, disclose, and protect your personal information in accordance with the Platform's published Privacy Policy. The Privacy Policy forms an integral part of this Agreement.

10.2 **Data Flow**: To enable API forwarding, your Input will be transmitted to third-party model providers according to your instructions. As a technical middle layer, we will in principle not use your Input for model training or sell it to third parties, subject to the Platform's Privacy Policy and Upstream Provider terms.

10.3 **Applicable Law**: In processing personal information, we will comply with applicable U.S. federal and state data protection laws, including but not limited to the California Consumer Privacy Act (CCPA) and its amendments (CPRA), and other potentially applicable U.S. laws. If you are located in the European Economic Area, the United Kingdom, or Switzerland, your personal information processing will also be subject to the General Data Protection Regulation (GDPR) and other applicable laws.

10.4 **Cross-Border Transfer**: Your calls may be transmitted to third-party model providers located in the United States or other jurisdictions. We will take reasonable measures to ensure the legality of data transfer and will transmit only data necessary to provide the Service.

10.5 **Technical Measures**: We adopt technical and administrative measures such as encrypted transmission (TLS 1.2+), access control, and audit logs to ensure data security.

10.6 **User Compliance Obligations**: You are responsible for the legality of the data processed through the Platform and shall not transmit confidential information, restricted data, sanctioned data through the API, or otherwise use the Service in violation of applicable law.

10.7 If you are suspected of infringing others' rights or violating the law, we may provide necessary information at the request of judicial or regulatory authorities; where there is a preliminary determination of suspected infringement, we may also provide necessary identifying information to the rights holder.

## 11. Intellectual Property

11.1 The intellectual property of the Platform's trademarks, logos, domain names, technical architecture, interface design, software code, documentation, and other materials belongs to us or its lawful rights holders. You may not copy, modify, or disseminate the above protected content without written permission.

11.2 The ownership of content (Output) generated through API calls is determined by the relevant Upstream Provider agreements and applicable law. You shall comply with the corresponding Upstream Provider restrictions on Output rights, use, and redistribution.

11.3 You represent that the text, images, audio/video, and other content you provide and use in connection with the Service have been licensed with sufficient, necessary, and valid permission, and that your Input does not infringe the lawful rights of any third party.

11.4 **AI Content Risk Notice**: Output from the Service is generated by artificial intelligence models; despite safety filtering, it may still be flawed, inaccurate, unreasonable, or cause discomfort. You should carefully assess and bear the risks of use.

## 12. Service Availability

12.1 We will endeavor to ensure the stability and availability of the Service but make no commitment or warranty that the Service will be continuously uninterrupted, fault-free, or fully available.

12.2 We are not liable for service interruption, delay, or unavailability caused by Upstream Provider failures, network outages, system maintenance, force majeure, or other reasons, but will take measures to restore the Service as soon as possible. For planned maintenance and upgrades, we will endeavor to notify you in advance.

12.3 For overall service operation and system security needs, we reserve the right to determine the configuration and scope of services/functions and to modify, interrupt, suspend, or terminate all or part of the Platform's functions, without liability for breach within the limits permitted by law.

12.4 The Platform may contain links to third-party websites or services. You should carefully read the terms and privacy policies of such third parties; disputes, losses, or damages arising from third-party applications, software, or services shall be resolved by you with the relevant third party.

## 13. Disclaimer and Limitation of Liability

13.1 **"As Is" Provision**: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any express, implied, or statutory warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and continuous availability.

13.2 **AI Output Disclaimer**: The Platform is solely a technical middle layer and makes no express or implied warranty as to the accuracy, completeness, legality, timeliness, or suitability of Upstream Provider Output. Output is merely a technical display and does not represent the Platform's stance, opinion, or attitude. You are solely responsible for viewing, using, disseminating, editing, and all subsequent actions regarding the Output.

13.3 **Limitation of Liability**: To the maximum extent permitted by law, we are not liable for:

* Any indirect, incidental, consequential, punitive, or special damages arising from your use of or inability to use the Service (including but not limited to lost profits, goodwill loss, and data loss);
* Losses caused by Upstream Provider service interruption, failure, change of service policies, or Output quality;
* Any loss or third-party claim arising from your violation of this Agreement, laws and regulations, or Upstream Provider terms;
* Losses caused by reasons not attributable to us, such as third-party attacks, viruses, Trojans, hacking, network failures, or governmental actions;
* Losses caused by your failure to properly safeguard your account, password, API Key, or data.

13.4 **Aggregate Liability Cap**: To the extent permitted by law, our aggregate liability to you shall not exceed the total fees you paid to us in the **12 months preceding the event giving rise to the claim**.

13.5 **Force Majeure**: We are released from liability, to the extent permitted by law, for service impact or losses caused by force majeure (including but not limited to natural disasters, war, civil unrest, governmental actions, network and power outages, Upstream Provider or regulatory requirements), and will endeavor to handle them promptly.

13.6 **Third-Party Conduct**: The Platform is not responsible for the statements, conduct, or content of any third party; it is not liable for the authenticity, legality, or security (including data breaches) of external websites.

13.7 The disclaimer and limitation of liability provisions herein are merely an allocation of rights and obligations between the parties; if they conflict with mandatory provisions of applicable law, the applicable law shall prevail.

## 14. Handling of Violations

14.1 The Platform may take the following measures for violations:

| General Violation | Disable relevant tokens, freeze account balance, refuse refunds                            |

| Suspected Crime   | Refer to judicial authorities; cooperate with investigation and provide necessary evidence |

14.2 If your conduct violates this Agreement or the Rules, we may, depending on the nature of the conduct, take independent measures including but not limited to intercepting or filtering prohibited content, deleting content, suspending use, restricting functions, freezing or terminating the account, and pursuing legal liability.

14.3 You agree that any third-party claims, demands, or losses (including reasonable attorney's fees) arising from your violation of this Agreement or laws and regulations shall be indemnified by you to the Platform.

## 15. Service Changes, Interruption, and Termination

15.1 We may change the Service content based on business strategy adjustments and may interrupt, suspend, or terminate certain models or functions, endeavoring to notify you in advance.

15.2 In any of the following circumstances, we may interrupt or terminate the Service to you without notice:

* The registration information you provided is false or inconsistent with the registration information and you fail to provide reasonable proof;
* You violate applicable laws and regulations or this Agreement;
* Required by judicial or regulatory authorities;
* For security or other necessary reasons.

15.3 You should back up the data stored in the Service yourself. After termination, we may delete the relevant data unless otherwise required by law; after suspension or termination, we are not obligated to provide or return your data.

15.4 If part of the Service cannot be provided normally due to third-party operational policy changes, permission restrictions, or other third-party reasons, we may immediately suspend, suspend, or terminate the relevant Service without liability for breach or compensation obligations.

15.5 You may stop using the Service and apply for account cancellation at any time. After cancellation, we will process relevant data in accordance with applicable law and the Privacy Policy.

## 16. Protection of Minors

16.1 Users under the age of 18 are minors and shall read this Agreement and use the Service under the supervision and guidance of, and with the consent of, their guardian.

16.2 Minors and their guardians confirm that if they violate laws, regulations, or this Agreement, the minor and guardian shall bear the corresponding legal liabilities in accordance with the law.

16.3 We specifically remind you to be cautious when uploading or publishing content involving minors; once published, you are deemed to have obtained the consent of the relevant rights holders and to permit us to use and process such content in accordance with this Agreement.

## 17. Dispute Resolution and Governing Law

17.1 Unless otherwise agreed by the parties, this Agreement applies to users worldwide, and its formation, effectiveness, performance, interpretation, and dispute resolution are governed by **the laws of the United States of America and the laws of the State of Delaware** (without regard to conflict of laws rules).

17.2 Disputes arising from this Agreement shall first be resolved through friendly consultation; if consultation fails, either party agrees to submit the dispute to **the state or federal courts of competent jurisdiction in the State of Delaware**, and irrevocably accept the exclusive jurisdiction of such courts. (Note: The governing state and court should be confirmed based on the operator's actual place of incorporation / principal place of business; Delaware is used here as an example and should be replaced with the actual jurisdiction.)

17.3 The headings of all clauses in this Agreement are for convenience only, have no substantive meaning, and shall not be used as a basis for interpretation. If any clause is held invalid or unenforceable, the remaining clauses shall remain valid and binding on the parties.

17.4 This Agreement may be available in multiple languages; in case of conflict or inconsistency, the simplified Chinese version shall prevail.

## 18. Miscellaneous

18.1 Our failure or delay in exercising any right under this Agreement shall not constitute a waiver of that right.

18.2 This Agreement constitutes the entire agreement between you and the Platform regarding the use of the Service and supersedes all prior oral or written agreements.

18.3 If you have doubts about this Agreement or the compliance of a particular use, please contact us through the customer service channels published on the Platform before use; we will assist in assessing compliance risks to avoid losses due to misuse.
